SELLER POLICY

Seller Policy

Welcome to Fanforged ("Fanforged", "we", "us", or "our"). By registering as a seller, listing products, or using the Fanforged marketplace platform, you ("Seller", "you", or "your") agree to comply with and be legally bound by this Seller Policy, our Terms of Use, Privacy Policy, and all other applicable policies published by Fanforged.

Fanforged operates solely as a third-party online marketplace platform connecting independent sellers with buyers. Fanforged is not the manufacturer, importer, distributor, retailer, or owner of products listed by Sellers unless explicitly stated otherwise.

1. Seller Responsibility

The Seller is solely and entirely responsible for:

• All products listed for sale
• The accuracy of all listing descriptions
• Product titles, specifications, images, claims, and representations
• Product quality, authenticity, legality, and safety
• Compliance with all applicable laws and regulations
• Pricing accuracy
• Shipping, fulfilment, and delivery
• Customer service and dispute resolution
• Returns, refunds, and warranties
• Any injuries, damages, losses, or claims arising from products sold

The Seller acknowledges and agrees that Fanforged does not inspect, test, verify, endorse, certify, guarantee, or warrant any products listed on the platform.

2. Independent Seller Status

Sellers operate as independent businesses and not as employees, contractors, agents, representatives, partners, or affiliates of Fanforged.

Nothing in this Policy creates any partnership, franchise, joint venture, employment, or agency relationship between Fanforged and any Seller.

3. Product Compliance and Legal Obligations

Sellers must ensure all products:

• Comply with all local, national, and international laws
• Meet all required consumer safety standards
• Do not infringe any copyright, trademark, patent, or intellectual property rights
• Are accurately described
• Are safe for intended use
• Are legally permitted to be sold in the buyer's jurisdiction

Sellers are solely responsible for obtaining any required licences, permits, authorisations, or certifications necessary to sell their products.

Fanforged reserves the right to remove listings or suspend accounts at its sole discretion without notice.

4. Prohibited Items

Sellers may not list or sell:

• Counterfeit merchandise
• Illegal products
• Unsafe or recalled products
• Stolen goods
• Infringing intellectual property
• Offensive, hateful, or unlawful material
• Weapons or regulated items
• Adult or prohibited content
• Fraudulent or misleading products

Fanforged may remove prohibited listings immediately and report unlawful activity to authorities where required.

5. Product Listings

Sellers warrant that all listing information is truthful, accurate, complete, and not misleading.

The Seller accepts full liability for:

• Incorrect descriptions
• Misleading statements
• Product defects
• Manufacturing faults
• Inaccurate sizing or specifications
• Missing warnings or instructions
• Health or safety risks
• Any buyer reliance on listing content

Fanforged bears no responsibility for any errors, omissions, or representations made by Sellers.

6. Shipping and Fulfilment

Sellers are solely responsible for:

• Packaging products safely
• Shipping products within stated timeframes
• Providing accurate tracking information
• Delivery performance
• Customs duties and import compliance
• Lost, stolen, delayed, or damaged shipments

Fanforged does not guarantee shipping times, delivery outcomes, or courier performance.

Risk of loss remains with the Seller until the product is delivered to the buyer unless otherwise required by applicable law.

7. Returns, Refunds, and Disputes

Sellers are responsible for handling:

• Buyer complaints
• Refund requests
• Product disputes
• Warranty claims
• Chargebacks
• Return shipping arrangements

Fanforged may, at its sole discretion, assist in mediating disputes but has no obligation to resolve disputes in favour of either party.

Fanforged may issue refunds to buyers where necessary to protect the platform or comply with payment provider obligations, and may recover those amounts from the Seller.

8. Seller Liability

The Seller assumes full legal and financial responsibility for all products sold through Fanforged.

The Seller is solely liable for:

• Product defects
• Personal injury claims
• Property damage
• Economic losses
• Consumer claims
• Regulatory penalties
• Product recalls
• Intellectual property disputes
• Negligence claims
• Failure to warn
• Misrepresentation
• Breach of consumer law

Fanforged shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from Seller products or conduct.

9. Release of Fanforged

To the maximum extent permitted by law, the Seller releases and forever discharges Fanforged, its owners, directors, officers, employees, affiliates, partners, licensors, service providers, and agents from any and all claims, liabilities, damages, losses, disputes, demands, actions, or causes of action arising from:

• Products sold by the Seller
• Seller conduct
• Product defects or injuries
• Buyer disputes
• Intellectual property claims
• Shipping issues
• Regulatory violations
• Consumer protection claims
• Product recalls
• Misrepresentations in listings

10. Indemnification

The Seller agrees to fully indemnify, defend, and hold harmless Fanforged and its owners, directors, officers, employees, affiliates, agents, contractors, successors, and assigns from and against any and all claims, demands, damages, liabilities, losses, penalties, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:

• Seller products
• Seller listings
• Seller conduct
• Breach of this Policy
• Violation of law
• Intellectual property infringement
• Injury or damages caused by products
• Buyer claims or disputes
• Regulatory investigations or enforcement actions

This indemnification obligation survives termination of the Seller's account.

11. No Warranties by Fanforged

Fanforged provides the marketplace platform on an "AS IS" and "AS AVAILABLE" basis.

Fanforged makes no warranties or representations regarding:

• Seller products
• Product quality
• Merchantability
• Fitness for purpose
• Authenticity
• Delivery
• Buyer conduct
• Platform availability
• Sales performance

Fanforged disclaims all warranties to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, Fanforged's total aggregate liability to any Seller shall not exceed the total platform fees paid by that Seller to Fanforged during the three (3) months preceding the event giving rise to the claim.

Fanforged shall not be liable for:

• Lost profits
• Lost sales
• Loss of goodwill
• Business interruption
• Data loss
• Indirect or consequential damages

13. Account Suspension or Termination

Fanforged may suspend, restrict, or permanently terminate Seller accounts at any time, with or without notice, for:

• Policy violations
• Buyer complaints
• Fraudulent conduct
• Intellectual property complaints
• Unsafe products
• Excessive disputes or chargebacks
• Conduct damaging to the Fanforged brand

Termination does not waive any Seller liabilities or obligations.

14. Insurance Requirement

Fanforged reserves the right to require Sellers to maintain valid product liability insurance and provide proof of coverage upon request.

Failure to maintain insurance may result in account suspension or termination.

15. Governing Law

This Policy shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction in which Fanforged operates, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the applicable courts chosen by Fanforged.

16. Policy Changes

Fanforged may update or modify this Seller Policy at any time without prior notice.

Continued use of the platform following updates constitutes acceptance of the revised Policy.
